The contracting authority wishes to establish a framework agreement for the supply of fixed term energy contracts (mains Gas, Half Hourly, Non Half Hourly, and UMS Electricity) for use by UK contracting authorities (as defined in Article 1(9) of Directive 2004/18/EC and implemented by Regulation 3 of The Public contracts Regulations 2006) or its agent(s). The Energy Consortium (TEC) is seeking to create a framework agreement with an envisaged maximum of 16 providers who shall be invited to mini-competitions to supply the specific individual requirements of TEC members.

On behalf of its members The Energy Consortium currently manages the annual energy procurement volumes on fixed term contracts as follows; 1.4T Wh Mains Gas, 800 GWh Half Hourly Electricity, 110 GWh of Non Half Hourly Electricity, 24 GWh UMS Electricity. These volumes are for indicative purposes only.

Description of these options: The Authority reserves the right to close or extend this framework after a period of 24 months. Such closure is only anticipated to be due to fundamental changes in the market; extensions will be in two 12 month periods up to a total maximum term of 48 months .

Section III: Legal, economic, financial and technical information

III.1)Conditions relating to the contract
III.1.1)Deposits and guarantees required:
The Consortium reserves the right to request deposits, guarantees, performance bonds and other forms of appropiate security, either from tenderers or members of the tender’s corporate groups. To the extent any of these are requires, the relevant selection and tender requirements relating to these will be stated in the tender documents.
III.1.2)Main financing conditions and payment arrangements and/or reference to the relevant provisions governing them:
As set out by the Authority in the Pre Qualification Questionaire and the Invitation to Tender.
III.1.3)Legal form to be taken by the group of economic operators to whom the contract is to be awarded:
The Contracting Authority reserves the right to require, in the context of a consortium, tenderers to take a particular legal form, or to require a single contractor to take primary liability, or to require that each party undertakes joint and several liability. Tenderers must provide full details of their proposed contracting structues, including key sub-contractors. Changes to consortia and contracting structures must be notified to the contracting authority immediately, which may impose conditions on or reject the change if that is reasonably necessary to ensure that the Contracting Authority meets its legal or procurement obligations. Full details of, and/or further restrictions on changes to consortia and contracting structures are set out in the tender documents.

Description of particular conditions: The selected contractor will be required to have all appropiate permissions and licences etc to undertake the services under the framework agreement in the UK and under UK legislation (and/or under all equivalent legislation in the place of their establishment) and will be required to evidence these according to the requirements set out in the tender documents and contract documents.

Tenderers should note that the Contracting Authority reserves the right to cancel this procurement at any stage and for any reason and not award a Framework Agreement.
In accordance with law and the terms set out in the tender documents, the Contracting Authority reserves the right to change without notice any part of the proposed contract and the procedure for awarding the proposed contract and/or stop the process or cancel the procurement at any time. The Contracting Authority also reserves the right not to award a contract at any time without liability on its part.
