Description of the goods or services required

Jobs & Business Glasgow (JBG) was formed from the merger of 5 Local Regeneration Agencies (LRAs) on 1 April 2011. The new company was initially called Glasgow’s Regeneration Agency (GRA) but was re-branded on 11 March 2013 to Jobs & Business Glasgow.

The organisation is a charity and a company limited by guarantee, with 6 subsidiary companies that provide property and childcare services.

The organisation has a 25 year services contract with Glasgow City Council to deliver its economic development services across the city, including:

– Youth and Adult employability services

– Micro business start-up advice and support

– Learning Services

In addition, the Company has contracts with Skills Development Scotland (SDS), The Big Lottery, Glasgow Life, GHA, and Glasgow Works and receives European Funding via Glasgow City Council. It earns commercial rents from its commercial property portfolio and childcare fees from its childcare facilities.

The company has c550 staff working from 21 Locations across the city.

The company inherited 3 Joint Venture (JV) arrangements from the former Glasgow South West Regeneration Agency (GSWRA), as follows:

– Modular Developments. A private company limited by shares was set up in July 2002 to operate as the vehicle for a joint venture involving JBG and another party. The initial purpose was to redevelop a run-down industrial site at Woodville St in Govan to create Woodville St Business Park.

– Govan Digital Media Centre (DMC) Ltd. A private company limited by shares, was set up in December 2003 to operate as the vehicle for a joint venture involving JBG and another party. The initial purpose was to procure the construction and development of the DMC at Brand St, Govan, Glasgow and subsequently to ensure the proper management of the common parts of the DMC and generally co-ordinate and/or implement matters of common concern (whether relating to the property or the activities accommodated within the property) in relation to the DMC.

– Moorpark Joint Venture LLP. A Limited Liability Partnership was set up in March 2006 to operate as the vehicle for a joint venture (with a view to profit) involving JBG and another party. The initial purpose was to procure the construction and development of a new office building at Moorpark in Govan, Glasgow.

The Board of Jobs and Business Glasgow has requested that a concise options report be submitted for each joint venture arrangement, to the next JBG Board meeting on 26 June 2013. The options report is to include the following, for each joint venture:

– Background to the Joint Venture arrangement

– Legal, Financial, Taxation, European Grant and Property implications of the arrangement

– Future options (no more than 3) for the arrangement

– Recommendation of the preferred option, and the reasons why

Skills & Experience Required

JBG is looking for a consultant to:

– Examine the relevant documents (joint venture legal agreements, lease agreements, financial accounts etc)

– Liaise with JBG’s solicitors on the legal aspects

– Consider the legal, financial, taxation and property aspects of the agreements

– Distil the issues, implications and risks into a concise report for the JBG Board

– Explain the options available to the Board and come up with a clear recommendation as to which option the consultant would recommend.

Therefore, JBG is looking for a multi-skilled consultancy which will have the relevant legal, financial, taxation and European Grant experience and knowledge to complete this exercise to a high standard with minimal input from JBG staff and to a very tight deadline.
